MarketMate Terms of Service

MarketMate is an app for following the Pakistan Stock Exchange. It shows share prices, index levels, charts and news, and it lets you keep a list of the companies you care about.

Three things matter more than anything else in this document, so they come first.

MarketMate is information, not advice. We do not tell you what to buy or sell. We are not your broker and we are not your financial adviser. Every decision you make with your money is yours.

The market data is delayed and imperfect. It reaches you after the market has already moved, some of it is sampled rather than official, and it can be late, incomplete or wrong. Do not trade on it. Check with the exchange or your broker before you act.

MarketMate is a work in progress. Some features may not work exactly as planned, and we may change, restrict or stop offering parts of the service. We offer it as it is, and we will always do our best to support you.

These Terms are the agreement between you and us. Please read them.

1. These terms

These terms of service ("Terms") are an agreement between you and Movent (Private) Limited ("MarketMate", "we", "us", "our"), covering your use of the MarketMate applications for Android and iOS, marketmatehq.com, and anything else we provide through them (together, the "Service"). Our full name and address are in CONTACT US at the end.

By installing, accessing or using the Service, you accept these Terms. If you do not accept them, please do not use the Service.

Our Privacy Statement explains what information we collect and why. It forms part of these Terms, and using the Service means you accept the processing described in it.

We may update these Terms from time to time, as described in section 20.

2. Who can use MarketMate

You may use the Service only if all of the following are true.

If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.

3. What MarketMate is

The Service is an information tool. It displays market data for the Pakistan Stock Exchange, including prices, index levels, historical charts and related news, and it lets you save a list of companies to follow so that the list is available on your devices.

You may use most of the Service without an account, as a guest. An account exists so that what you save follows you between devices, and so that our support team can reply to you.

The Service is provided on an "as is" and "as available" basis. We are actively building it. Features may be added, changed, restricted or removed, and we may set limits on use. We will try to give notice of significant changes, but we may act immediately where security, legal compliance or the stability of the Service requires it.

4. What MarketMate is not, and no investment advice

This is the most important section in these Terms.

MarketMate is not a broker, dealer, exchange, custodian, bank or investment platform. You cannot buy, sell, trade or hold securities through the Service. We never take custody of your money or your securities, and we execute nothing.

MarketMate is not a financial adviser and gives no investment advice. Nothing in the Service is, or should be treated as, investment advice, financial advice, trading advice, tax advice, legal advice, a recommendation, an endorsement, a solicitation, or an offer to buy or sell any security. Nothing in it is advice on whether an investment is suitable for you, or on whether it meets any religious or ethical standard. We do not know your circumstances, your objectives or your tolerance for risk, and nothing we show you is tailored to them.

We are not licensed or regulated as an investment adviser, a securities dealer or a financial institution in any jurisdiction, and nothing in the Service should be read as suggesting otherwise.

Every decision is yours. Anything you do on the basis of what you see in the Service is done at your sole risk. Investing carries risk, including the risk of losing money, and past performance says nothing about future results. Before you act, consult a qualified professional licensed in your jurisdiction, and verify prices with the exchange or your broker.

5. Market data and news

Market data reaches the Service from the exchange's feed and from other providers. You accept the following, which describe honestly what that data is and is not.

News. The news in the Service is written and published by us. It is general information about the market, it is not advice, and section 4 applies to it in full. Where a story names an outside source, that source's own content belongs to it and we do not endorse it.

6. Your account

To create an account you give us an email address, choose a username and set a password, and you may add a display name. You agree that the information you give us is true, accurate and current, and that you will keep it up to date.

You are responsible for your account and for everything done through it. Keep your password secret, do not reuse a password from another service, and tell us at support@marketmatehq.com as soon as you think someone else has access. We are not liable for losses caused by someone else using your account where that access resulted from your own failure to keep your credentials secure.

An account is for one person. Do not share, sell, transfer or lend it.

Usernames are first come, first served. We may reclaim, or ask you to change, a username that impersonates somebody, infringes a trademark, is offensive, or is reserved for our own operation of the Service. A username released by a deleted account is retired permanently and cannot be claimed again, which stops it being used to impersonate the person who held it.

7. Acceptable use

You agree to use the Service for its intended purpose and in compliance with all applicable laws. You agree not to:

8. Content you provide

The Service lets you provide some content, including your username, your display name and the messages you send to support. Features we are building will let you save more, such as figures and notes you enter about your own holdings. You are solely responsible for the content you provide, and you confirm that you have the right to provide it.

Nothing you provide is published to other users. MarketMate has no social feature, no sharing between users, and no public profile.

You keep ownership of your content. You grant us a licence to store, process, display back to you and back up that content, for the sole purpose of operating and supporting the Service. The licence ends when the content is deleted, subject to the retention periods in our Privacy Statement and to copies held in routine backups.

You must not provide content that:

We may refuse or remove content that breaks these standards. We are under no obligation to monitor content, and we are not responsible for any failure or delay in removing it.

9. Availability, changes and support

We aim to keep the Service available and accurate, but we do not promise that it will be uninterrupted, timely, secure or error free. Access may be suspended for maintenance, for upgrades, or because of events outside our control, including failures at the exchange, at our providers, or in the networks between us and you.

We may change, suspend, restrict or discontinue any part of the Service. Where a change materially reduces what the Service does, we will give reasonable notice where we can. Nothing here limits any right you have under mandatory consumer protection law in your country.

Support is available at support@marketmatehq.com and through the contact form in the app. We aim to reply within a few working days.

10. Our intellectual property, and other people's

The Service, including its software, design, interface, text, graphics, charts, name and logo, is owned by us or licensed to us and is protected by intellectual property law. These Terms give you a personal, limited, non-exclusive, non-transferable and revocable licence to install and use the app on devices you own or control, and to use the Service, for your own personal and non-commercial purposes. We reserve every right not expressly granted.

Other people's marks. Company names, ticker symbols and company logos shown in the Service belong to their respective owners and are used to identify the company a price belongs to. Their appearance does not imply any affiliation with, sponsorship by, or endorsement from those companies or from the Pakistan Stock Exchange. If you own a mark shown in the Service and you would rather it were not shown, write to legal@marketmatehq.com and we will remove it.

Feedback. If you send us suggestions or ideas about the Service, we may use them without restriction and without owing you anything, and we will not treat them as confidential.

11. Third-party services and app stores

The Service depends on third parties, including the app store you installed it from, our hosting and delivery providers, and the sources of our market data. We are not responsible for those third parties' services, and their own terms and privacy policies govern your relationship with them.

Your use of the app is also subject to the terms of the store you obtained it from, whether Google Play or the Apple App Store. Section 21 sets out additional terms that Apple requires.

The Service may link to third-party websites or content. We do not control them, we do not endorse them, and we are not responsible for them.

Signing in with another company's account is not available today. If we add it, that company's terms will govern that part of the process, and we will say so before it ships.

12. Advertising

MarketMate shows no advertising today.

We are working on an advertising-supported version, and we would rather set the rules out now than surprise you. If advertising is introduced, the following applies, and our Privacy Statement will be updated in the same release to describe what the advertising provider receives and what your choices are, including asking for your consent where the law requires it.

13. Paid features

MarketMate is free today. There are no paid features, no subscriptions and no in-app purchases.

If we introduce paid features, we will publish the terms that apply before you can buy anything. Purchases made inside the app would be handled by Google Play or the Apple App Store under their own terms, any subscription would renew automatically until cancelled through the store, and cancellations and refunds would follow that store's rules together with any statutory rights you have as a consumer. Prices may vary by country, tax and promotion.

14. Notifications and messages

We will send you the email the Service requires, including verification codes, password resets, security notices, and notices about changes to these Terms or our Privacy Statement. These are part of operating your account and cannot be turned off while you hold one.

Push notifications are being built and the app does not send any yet. When they arrive they will be optional, you will be able to turn them off in your device settings and in the app, and our Privacy Statement will describe them before the first one is sent. A notification about a price or a market event is information, never advice, and section 4 applies to it in full. We do not guarantee that any notification will be delivered, or delivered on time, and you must not rely on one arriving.

15. Suspension and termination

By you. You may stop using the Service at any time. You can delete your account in the app under Account, then Personal information, then Delete account, or by writing to support@marketmatehq.com if you can no longer sign in. Deletion is permanent, and our Privacy Statement describes it, including the short period before the record is erased for good.

By us. We may suspend or terminate your access to the Service, or any part of it, if we reasonably believe that you have broken these Terms, that your account is being used to harm the Service or another person, or that we must act because of a law, a regulation, legal process or a government request. Where it is reasonable and lawful, we will tell you why and, if the problem can be fixed, give you a chance to fix it. We may also close an account that has been inactive for a long period, after giving you notice by email.

What survives. Sections 4, 5, 10 and 16 to 23 survive the end of these Terms, along with any other provision that by its nature should.

16. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. YOU USE IT AT YOUR OWN RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, THAT ANY DEFECT WILL BE CORRECTED, OR THAT ANY PRICE, CHART, CALCULATION, INDICATOR OR NEWS ITEM IN IT IS ACCURATE, COMPLETE, CURRENT OR RELIABLE.

NOTHING IN THIS SECTION REMOVES OR LIMITS ANY RIGHT YOU HAVE UNDER MANDATORY CONSUMER PROTECTION LAW IN YOUR COUNTRY. NOTHING IN THESE TERMS REMOVES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANYTHING ELSE THAT CANNOT LAWFULLY BE EXCLUDED.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFIT, REVENUE, BUSINESS, DATA OR GOODWILL, OR FOR ANY TRADING OR INVESTMENT LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER OR NOT WE HAVE BEEN ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

IN PARTICULAR, WE ARE NOT LIABLE FOR ANY LOSS ARISING FROM A DECISION YOU TOOK ON THE BASIS OF INFORMATION IN THE SERVICE, OR FROM ANY DELAY, INACCURACY, INTERRUPTION, SUSPENSION OR UNAVAILABILITY OF MARKET DATA OR OF THE SERVICE ITSELF.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THIS SECTION REMOVES OR LIMITS ANY LIABILITY THAT CANNOT LAWFULLY BE REMOVED OR LIMITED, OR ANY RIGHT YOU HAVE UNDER MANDATORY CONSUMER PROTECTION LAW IN YOUR COUNTRY.

18. Indemnity

To the fullest extent permitted by law, and except where you are acting as a consumer and the law of your country does not allow it, you agree to indemnify and hold harmless MarketMate and its directors, employees, agents and representatives against any claim, loss, damage, liability, cost or expense, including reasonable legal fees, arising from or related to your use of the Service, the content you provide, or your breach of these Terms, of any law, or of any third-party right.

19. If we do not enforce something

If we do not exercise or enforce any part of these Terms, that is not a waiver of our right to do so later.

20. Changes to these Terms

We may change these Terms from time to time. When we do, we will post the updated version where you are reading this and update the date at the top. If a change is material, we will give you reasonable notice before it takes effect, including in the app or by email where we can.

Changes take effect when posted unless we say otherwise. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not accept them, please stop using the Service and delete your account.

21. Additional terms for Apple App Store users

If you obtained the app from the Apple App Store, the following applies and prevails over anything inconsistent elsewhere in these Terms.

22. Governing law and disputes

These Terms, and any dispute arising out of or in connection with them or the Service, are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict of laws rules, and the courts of Lahore have exclusive jurisdiction.

If you are a consumer, this does not deprive you of the protection of any mandatory provision of the law of the country where you live, and it does not remove any right you have to bring proceedings in the courts of that country.

Before starting any formal proceeding, please write to legal@marketmatehq.com. Most problems can be sorted out quickly, and we would much rather sort yours out than argue about it.

23. General

Severability. If any part of these Terms is held invalid or unenforceable, it is treated as replaced by a valid and enforceable provision that comes as close as possible to its intent, and the rest of these Terms remain in full force.

Assignment. You may not assign or transfer these Terms or your account. We may assign these Terms to an affiliate, or in connection with a merger, acquisition or sale of assets, on notice to you.

No other third-party rights. Except for Apple as described in section 21, nobody other than you and us may enforce these Terms.

Entire agreement. These Terms, together with our Privacy Statement and any additional terms we publish for a particular feature, are the entire agreement between you and us about the Service, and replace anything said before.

Language. These Terms are written in English. Any translation is for convenience only, and the English version governs.
